Please read these Terms and Conditions carefully before using the Korvenix website or engaging our consulting services. By accessing this website or entering into a consulting engagement with Korvenix, you agree to be bound by these terms. If you do not agree, please do not use this website or engage our services.
1. Definitions
- "Korvenix" / "we" / "us" — Korvenix Sdn. Bhd., a company incorporated in Malaysia, with registered offices at Level 23, Menara Etiqa Twins, Jalan Pinang, 50450 Kuala Lumpur.
- "Services" — consulting engagements provided by Korvenix, including Strategic Direction Mapping, Operational Review, and Founder's Hour, as described on this website or in a written engagement agreement.
- "Client" / "you" — any individual or entity that accesses this website or engages Korvenix for consulting services.
- "Agreement" — these Terms and Conditions together with any written engagement agreement or scope document between Korvenix and a Client.
- "Deliverables" — written documents, summaries, direction documents, and other materials produced by Korvenix as part of an engagement.
2. Acceptance of Terms
By accessing this website or commissioning our services, you confirm that:
- You are at least 18 years of age.
- You have the legal capacity and authority to enter into a binding agreement.
- If acting on behalf of an organisation, you are authorised to bind that organisation to these terms.
- You have read and understood these Terms and Conditions in their entirety.
3. Service Description
Korvenix provides business consulting services to founders, managing directors, and leadership teams of Malaysian companies and regional enterprises. Our services are advisory in nature. Korvenix does not act as a director, officer, legal advisor, auditor, or financial advisor, and our deliverables do not constitute legal, financial, or regulatory advice.
Services are subject to availability and are offered on the basis of mutual agreement. Korvenix reserves the right to decline an engagement at its discretion.
The specific scope, timeline, and deliverables for each engagement will be agreed in writing prior to commencement.
4. Client Responsibilities
Clients are expected to:
- Provide accurate and reasonably complete information relevant to the engagement.
- Make relevant personnel available for interviews and process reviews as agreed.
- Respond to requests for information within a reasonable timeframe.
- Not use this website or any Korvenix materials for unlawful purposes.
- Not attempt to reverse engineer, copy, or redistribute Korvenix methodologies without written permission.
The quality of our output depends in part on the accuracy of information provided. Korvenix is not responsible for conclusions that rely on materially inaccurate client-provided information.
5. Intellectual Property
All intellectual property on this website — including text, design, and methodologies — remains the property of Korvenix unless otherwise stated.
Upon full payment of the agreed engagement fee, the Client is granted a non-exclusive, non-transferable licence to use the Deliverables for their own internal business purposes. This licence does not permit resale, redistribution, or sublicensing of Deliverables.
Korvenix retains the right to reference the general nature of an engagement (without disclosing confidential content) in its own communications, subject to the confidentiality provisions in Section 7.
6. Payment Terms
Fees are denominated in Malaysian Ringgit (RM) unless otherwise agreed in writing. Payment terms for each engagement are specified in the written engagement agreement. As a general practice:
- A deposit of 50% of the agreed fee is payable before work commences.
- The remaining balance is payable upon delivery of final Deliverables, unless otherwise agreed.
- Monthly retainer engagements (Founder's Hour) are invoiced monthly in advance.
- Invoices are payable within 14 days of issue.
Refunds: Deposits are non-refundable once work has commenced. If Korvenix is unable to complete an engagement due to circumstances on its side, a pro-rated refund will be considered at Korvenix's discretion.
7. Confidentiality
Korvenix treats all information shared by Clients during an engagement as confidential. We will not disclose such information to third parties without the Client's consent, except where required by law.
Clients are similarly expected to treat Korvenix's proprietary methodologies, frameworks, and internal materials as confidential and not to share or reproduce them without written permission. Where a separate Non-Disclosure Agreement is required, this should be agreed prior to engagement commencement.
8. Disclaimers
Korvenix's services are advisory. Our deliverables represent considered perspectives based on available information at the time of the engagement. We do not warrant that following our recommendations will produce any particular commercial outcome.
- Nothing in our Deliverables constitutes legal, financial, tax, or regulatory advice.
- This website is provided on an "as is" basis without warranties of any kind.
- We do not warrant that this website will be uninterrupted or error-free.
9. Limitation of Liability
To the extent permitted by Malaysian law, Korvenix's total liability to a Client for any claim arising from an engagement shall not exceed the total fees paid by the Client for that engagement.
Korvenix shall not be liable for:
- Indirect, consequential, or incidental losses.
- Loss of revenue, profits, or business opportunity.
- Outcomes resulting from the Client's decision to implement or disregard our recommendations.
- Events beyond our reasonable control (force majeure).
10. Indemnification
The Client agrees to indemnify and hold harmless Korvenix and its directors, advisors, and associates from any claims, damages, or costs arising from: (a) the Client's misuse of Deliverables; (b) materially inaccurate information provided by the Client; or (c) the Client's breach of these Terms.
11. Termination
Either party may terminate an engagement by providing written notice. Where termination is initiated by the Client:
- Work completed to the date of notice is billable at the agreed rate.
- Deposits paid are not refundable once work has commenced.
Where termination is initiated by Korvenix for cause (e.g., material breach by the Client), outstanding fees remain payable for work completed. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.
12. Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute, the parties agree to first attempt resolution through good-faith discussion.
If the matter is not resolved within 30 days, either party may refer the dispute to the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, whose rules shall apply. The language of arbitration shall be English.
The courts of Malaysia retain jurisdiction for interim relief and for matters not subject to arbitration.
13. General Provisions
- Entire Agreement: These Terms, together with any written engagement agreement, constitute the entire agreement between the parties on the subject matter.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: A failure to enforce any provision shall not constitute a waiver of that provision.
- Assignment: Clients may not assign their rights under these Terms without Korvenix's prior written consent.
- Notices: Formal notices should be sent in writing to the registered address or email address of the relevant party.
14. Changes to These Terms
Korvenix may update these Terms from time to time. Updated terms will be published on this page with a revised effective date. For active engagements, material changes will be communicated directly. Continued use of our website or services after a change constitutes acceptance of the revised terms.
